Please read carefully the following terms and conditions (hereinafter the "Terms") applicable to your usage of the Services provided through SoloCheck.ie.

By visiting, purchasing from, or using SoloCheck.ie, you agree to the Terms.

Please be aware that:

  1. If you visit or use the SoloCheck.ie to purchase and receive the services, you have to click the box on Login Web Page and therefore you are agreeing to these Terms, which form a binding contract between you and us. Please read them carefully and keep a record of these Terms for your future reference.
  2. If you are a Consumer (i.e. a natural person acting for purposes outside their trade, business or profession) and you visit or use the SoloCheck.ie to purchase and receive the Services (as defined below):
    1. You may get more information about your general rights as a consumer and contact a consumer advice organization (e.g. the Competition and Consumer Protection Commission (CCPC)), at the following website: https://www.ccpc.ie/.
    2. You will benefit from any mandatory provision of the applicable law of the country where you are resident. Nothing in these Terms, affect your rights as a Consumer to rely on such mandatory provision of the applicable legislation.
    3. If you wish to complain or raise a dispute in relation to our service, you can contact us, providing a written description of your claim/problem and the documentation useful to resolve your claim/problem, at the following Complaints Handling Process here. We will attempt to contact you as soon as possible. Additionally, should you not agree with the results, you can use the European Commission's online dispute resolution platform accessible at the following link: http://ec.europa.eu/consumers/odr/
    4. Cooling-off period: If you have changed your mind, you can obtain a full refund on any online purchase on the SoloCheck.ie before the expiry of the cooling off period which is 14 calendar days from the date you purchased the Services. Please note the following limitations to the cooling off period:
      1. Digital Content: Where you have purchased digital content (please note that all the services are considered as digital content), you acknowledge that the 14 day cooling off period expires immediately once you begin to download, activate or stream the digital content since You cannot cancel the contract once we have completed the Services;
      2. Supply of Services: Where you have purchased a Service, you hereby acknowledge that where you begin using this service before the end of the cooling off period, you will be liable for all charges incurred up to the date of cancellation where you chose to cancel your online purchase;
    5. Cancellation Process: To cancel your online purchase before the expiry of the cooling off period, you may call the following number (01) 903 2660 or send an email to this address support@solocheck.ie, before the cooling off period has expired. If you are emailing us or writing to us, please include details of your order to help us to identify it. If you send us your cancellation notice by email or by post, then your cancellation is effective from the date you send us the email or post the letter to us. For example, you will have given us notice in time as long as you get your letter into the last post on the last day of the cancellation period or email us before midnight on that day.
    6. We will refund the original purchase price (less any discounts we applied at the time of your purchase and less any applicable diminished value amount or service charges) for the service you're cancelling as soon as reasonably possible, and in any case in accordance with our statutory obligations. You will be refunded using the same means of payment you used for your initial transaction.
    7. The Fees for the Services are available on our Pricing Page. The Fees may be paid during the checkout process.
  3. These Terms will be updated from time to time. Each time they are amended, You will have to log on and accept the most recent updated terms and conditions. The date that these were last updated shall be indicated on the Terms page, and acceptance of these is mandatory.
  4. SoloCheck.ie is operated by CRIF VISIONNET LIMITED, a company incorporated in Ireland, with company registration number 177790 and registered address located at 3rd Floor Block D, Adelphi Plaza Dun Laoghaire Co. Dublin, Dun Laoghaire, Dublin (hereinafter referred to as "us", "we", "our" or "CRIF").
  5. All activities conducted under this Terms are in compliance with the Equal Status Acts 2000–2018.

SECTION I

These terms and conditions will be updated from time to time. With each change, you will need to log in and accept the most recent version. The date of the last update will be indicated on this page.

  1. Definitions
    "Account" The user account created by the User on SoloCheck.ie.
    "Agreement" means the Terms as may be amended from time to time.
    "Business User" Any User who does not qualify as a Consumer.
    "Commencement Date" means the date when the User register itself with SoloCheck.ie through the Registration Procedure.
    "Confidential Information" means in respect of each Party all information whether conveyed orally, in writing, in machine readable form or otherwise which relates to a Party's business, products, software, documentation, developments, trade secrets, know-how, personnel, suppliers and customers whether or not designated as "confidential information" by the disclosing Party together with all information derived from the above and all information designated as confidential or commercially sensitive or which ought reasonably to be considered confidential or commercially sensitive but does not include information which:
    • is or becomes public knowledge other than by breach of clause 4 (Confidentiality);
    • is received from a third party who lawfully acquired or developed it and who is under no obligation of confidence in relation to its disclosure; or
    • is independently developed without the use of the other Party's Confidential Information.
    "Consumer" As defined by the Consumer Rights Act 2022, an individual acting for purposes that are wholly or mainly outside that individual's trade, business, craft, or profession.
    "CRO" The Irish Companies Registration Office.
    "Database" means the data content and software on SoloCheck.ie.
    "Processor" has the meaning given to it in Data Protection Law;
    "Data Protection Law" means the General Data Protection Regulation (EU 2016/679), ), the Data Protection Act 2018, "ePrivacy Regulations" S.I. No. 336 of 2011 , and any relevant transposition, successor or replacement of those laws and any applicable guidelines or codes of practice, and the terms defined in the Data Protection Law;
    "Data Subject" has the meaning given to it in Data Protection Law;
    "Fees" means the fees which appear in the My Usage Page and which the User is to pay for the Services;
    "Intellectual Property Rights" means (a) copyright, all rights in the nature of copyright, moral rights, patents, rights in semi-conductor chip topographic, Internet domain names and website addresses and other similar rights or obligations database rights and rights in trademarks, trade names, logos, trade dress, designs, know-how and confidential information (whether registered or unregistered); (b) applications for registration, and the right to apply for registration, for any of these rights; and (c) all other intellectual property rights and equivalent or similar forms of protection existing anywhere in the world;
    "Login Details" means the password and username to access SoloCheck.ie;
    "Login Web Page" means the web page of SoloCheck.ie where the User access SoloCheck.ie using the Login Details and where the User accept these Terms by clicking the box;
    "My Usage Page" means the page of the where the Fees and Customer Spend are listed;
    "Personal Data" has the meaning given to it in Data Protection Law;
    "Privacy Notice" means the Supplier privacy notice displayed on the website https://www.solocheck.ie/privacy.jsp which covers SoloCheck.ie.
    "Processing" has the meaning given to it in Data Protection Law, and "Process" will be construed accordingly;
    "Registration Page" means the web page of the SoloCheck.ie where there are the instructions for a User to register itself and to create an Account;
    "Registration Procedure" means the registration of a User using/sending an email to the Supplier or calling the Supplier according to the instructions set forth in the Registration Page.
    "Services" All search services, digital content (such as reports and documents), and features provided by SoloCheck.ie. The Services include those described from time to time in the Special Terms.
    "SoloCheck.ie" means the website through which the Services (or some of them) may be provided by the Supplier.
    "Special Terms" means the special terms and conditions applicable to a particular Service as per section II of these Terms.
    "Terms" means the General Terms set forth in Section I of this Agreement and of Special terms set forth in section II of this Agreement.
    "User" The individual, company, or organisation using SoloCheck.ie.
    "VAT" means Revenue Irish Tax and Customs value added tax.
  2. The Services
    2.1. By using SoloCheck.ie, the User agrees to be bound by the Terms, which form the agreement between the User and the Supplier. The User, after having been registered according to the Registration Procedure and provided with the Login Details, may access the Registration Page and click the box for the acceptance of the Terms and then follows the instructions to purchase the Services. If the User does not agree with any of the terms of the Agreement, the User should stop using SoloCheck.ie immediately. It is recommended that the User prints a copy of these Terms.
    2.2. On the SoloCheck.ie., the User will find available the following:
    2.2.1. the Privacy Notice;
    2.2.2. the Cookies Policy;
    which are applicable to specific elements or features of SoloCheck.ie. The Privacy Notice and the Cookies Policies are incorporated into these Terms.
    2.3. The Supplier is entitled to cancel or modify the Services or change the Terms, the Privacy Notice, the Cookies Policy and any other term at any time for any reason at its sole discretion. Should a change occur, the Supplier will notify the User via email or in the Account of the new Terms. If the User does not agree with any of the updated terms of the Terms, the User should stop using the SoloCheck.ie immediately and the Terms will be considered terminated.
    2.4. If the User terminates the Terms according to clause 3.1, the User will be refunded any prepaid Fees for the remaining part of the currently active period (excluding any past Fees paid for any prior periods), minus specific fees for services already used (see here). The Supplier therefore recommend that the User checks these Terms regularly to ensure he/she understands the terms that apply at that time
    2.5. The Services will be provided with reasonable skill and care, in compliance with all applicable laws and regulations. However, the Supplier cannot guarantee that the Services will always be available or operate without errors. The Supplier reserves the right to suspend or terminate the User's access to the Services at any time if we reasonably suspect that the User has violated these Terms.
    2.6. The usage of the Services is subject to the following:
    2.6.1. In case the User is a Consumer, the User must be at least 18 years old if he/she is a Consumer. In case the User is a Business User, the person accepting the terms must have the authority to act on the Business user's behalf.
    2.6.2. To the extent allowed by applicable law, the Services are provided on an ‘as is' basis and without any warranties, undertakings or representations (whether express, implied or statutory), whether with respect to merchantability, fitness for a particular purpose, non-infringement, title, availability, compatibility, security or accuracy.
    2.6.3. The Supplier does not guarantee, represent or warrant that the Services will be uninterrupted, timely, secure or error-free. The Supplier is not responsible for any delays, failures, or any other loss or damage resulting from the interruption of the communications networks, including the internet, and the User acknowledges that the SoloCheck.ie and the Services may be subject to limitations, suspension due to the problems inherent in the use of such communications networks where those are not under the Supplier's control.
    2.6.4. The Supplier reserves the right to limit or suspend the usage of the SoloCheck.ie and/or search and/or the usage of all or any part of the Services (i) in the event of a technical difficulty without notice or (ii) in the event of business/ operational reasons or to address security issues or changes in law with prior reasonable notice. The Supplier will make every effort to ensure that any disruption will be kept to an absolute minimum. The Supplier will issue the users with a refund of prepaid Fees for the remaining part of the currently active period if the supplier withdraws the Services. The Supplier is not liable to the user or to any third party for any modification, suspension or discontinuance of the Services.
    2.7. The User accepting the Terms:
    2.7.1. warrants and represents to have the authority to subscribe these Terms and to use the Services;
    2.7.2. acknowledges to have read and understood the Terms, the Privacy Notice and any other document submitted through SoloCheck.ie;
    2.7.3. warrants and represents that the information provided is true and correct.
  3. User Status and Consumer Rights
    It is essential to distinguish between Users acting as Consumers and Business Users.
    • If you are a Consumer, you benefit from mandatory statutory rights under the Consumer Rights Act 2022. No clause in these Terms can limit or exclude those rights. The sections specific to Consumers will prevail over any other conflicting clause.
    • If you are a Business User, your relationship with us is governed exclusively by these Terms, excluding the specific protections provided for consumers.
  4. Specific Legal Rights for Consumers
    This section applies exclusively to Users who are Consumers.
    1. Right to Cancel (Cooling-Off Period)
      • You have the right to cancel this contract within 14 days without giving any reason.
      • The cancellation period will expire after 14 days from the day of the conclusion of the contract (i.e., from the creation of the account or the purchase of credit/services).
      • To exercise the right to cancel, you must inform us of your decision by an unequivocal statement (e.g., a letter sent by post or e-mail).
      • If you cancel this contract, we will reimburse to you all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision.
      • Exception to the loss of the right to cancel: If you request the performance of a service (e.g., downloading a report) to begin during the cancellation period, you must make an express request and acknowledge that once the contract for the digital service has been fully performed, you will lose your right to cancel.
    2. Statutory Guarantees on the Service Under the CRA 2022, we guarantee that our Services:
      1. Conforms to the description provided on our website.
      2. Is fit for the purpose for which services of this type are normally used.
      3. Possesses the quality and performance that a consumer can reasonably expect.
      4. Is supplied with reasonable care and skill.
    3. Remedies for Lack of Conformity If the Service does not conform to the statutory guarantees, you are entitled to specific remedies, including, depending on the circumstances, the right to a price reduction or the right to terminate the contract.
    4. Unfair Terms Any term in these Terms that is deemed "unfair" under the CRA 2022 will not be binding on you. A term is generally considered unfair if, contrary to the requirement of good faith, it causes a significant imbalance in the parties' rights and obligations to the detriment of the Consumer.
  5. Fees, Payments, and Refunds
    The Supplier reserves the right to charge a fee for its Services.
    • For Consumer Users:
      • Refunds: You are entitled to a full refund if you exercise your right to cancel within 14 days, as described in clause 3.A. Outside of this period, refunds will only be granted in the case of a technical problem with the delivery of a report or if the Service does not conform to the statutory guarantees (Clause 3.B).
      • Pre-paid Credit: Pre-paid credit purchased by a Consumer does not have an expiry date and will not be forfeited due to account inactivity.
    • For Business Users:
      • Due to the nature of the information supplied, SoloCheck.ie does not operate a policy of refunds, except in the case of a technical problem with the delivery of a report or document, provided the refund request is made in writing within 7 days of the purchase date.
      • Credit Expiry: If a Business User's account has no chargeable transaction over a 24-month period, the balance of any remaining credit on the account shall expire and be for the benefit of CRIF VisionNet Limited. An email notification will be sent 30 days prior to the credit expiry.
  6. User Obligations and Restrictions
    6.1. Login credentials are for personal use and must not be shared. The User is responsible for the safekeeping of their password.
    6.2. The use of automated processes to access, query, or download data from the site is forbidden. Access is permitted only on a manual, individual search basis.
    6.3. Resale of SoloCheck.ie content is strictly prohibited. The information is to be used only for your own private use or for the internal purposes of your business.
    6.4. Data accessed from the Database will be used in accordance with the Data Protection Law. Data sourced from the CRO and downloaded from SoloCheck.ie may not be used for Unsolicited Marketing Communications. This means the use of the data or any part of the data for advertising a particular product or service of the user is not allowed.
  7. Data protection
    7.1. The User undertakes to comply at all times with all Data Protection Law and any related legislation in so far as the same relates to the provisions and obligations of the Agreement. The Supplier will use the User's Personal Data as set out in our Privacy Notice.
    7.2. If the User provides personal data about other individuals, the User shall ensure (i) to have collected this personal data in compliance with Data Protection Law and (ii) to have obtained all necessary consents and (iii) to use the personal data only for the purposes described.
    7.3. The Supplier may collect and use anonymised data related to the use and performance of the SoloCheck Platform, Services and related systems and technologies, for development, diagnostic, and other purposes.
    7.4. In providing the Services, the Supplier is Data Controller.
  8. Term
    This Agreement will come into effect on the Commencement Date and will continue for one year.
  9. Termination
    The Supplier reserves the right to charge a fee for its Services.
    • For Consumer Users:
      • You may close your account at any time by giving written notice.
      • Upon closure, any unused pre-paid credit balance will be refunded to you. The User remains liable for payment of any unpaid search fees that exceed the credit balance.
    • For Business Users:
      • The User may close their account by giving 14 days' written notice.
      • Unused credit at the date of termination will be for the benefit of the Supplier. The User agrees to settle any search fees not covered by the credit balance.
  10. Intellectual Property Rights
    10.1. All content included on SoloCheck.ie is the property of the Supplier or its data providers and is protected by copyright law. Additional clauses on Intellectual property Rights may be added in the Special Terms.
  11. Limitation of Liability and Disclaimer
    11.1. General Clause: Nothing in these Terms will limit or exclude our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded by applicable law, including the mandatory statutory rights granted to Consumers under the CRA 2022.
    11.2. Accuracy of Information: The Service is based on information received from various third-party sources, including the CRO, the UK Companies House, and other registries. These sources provide data that we cannot independently verify. While CRIF VisionNet Limited exercises reasonable care and skill in providing the Service, we cannot guarantee the absolute accuracy or completeness of the underlying information supplied by third parties. Therefore, CRIF VisionNet Limited shall not be liable for the consequences of any errors or omissions originating directly from such third-party sources, provided we have acted with reasonable care and skill in gathering and presenting that data.
    11.3. Suspension of Service: We will endeavour to provide constant, uninterrupted access to SoloCheck.ie. However, we reserve the right to suspend the website for technical difficulties, while seeking to minimise any disruption. We accept no liability for any interruption or delay outside of our reasonable control.
  12. Governing Law and Jurisdiction
    12.1. The use of SoloCheck.ie and these Terms are governed by and construed in accordance with the laws of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Irish courts.
  13. Miscellaneous
    13.1. Electronic Communications: We will communicate with you by e-mail or by posting notices on the site.
    13.2. Severability: If any provision of these terms is found to be unlawful or unenforceable, that provision shall be severed, and the other provisions shall remain in full force and effect.

SECTION II

Credit Check Information

  1. Object
    1.1. The Supplier agrees to allow the User to access the information contained in the Database. This information is received from a variety of sources which include the Companies Registration Office, the UK Companies House, Registry Trust Ltd. Judgment database and others. All usage is therefore governed in turn by those organisations terms and conditions of trading, which the User is also agreeing to be bound by.
    1.2. The information contained in this Database has been supplied largely by the CRO, which in turn was supplied by or on behalf of companies, pursuant to statutory obligation. The CRO, UK Companies House, and NI Company Registers are some of the main suppliers of this data, they do not, and cannot, vouch for the accuracy of such information. The Supplier shall not be responsible for the consequences of any errors or omissions in the information held on its Database.
    1.3. The Supplier will send the User update notices of the User's previously searched companies.
  2. User's obligations
    2.1. All data accessed from the Database will be used in accordance with the Data Protection Law.
    1. Personal data sourced from the CRO and downloaded from the SoloCheck.ie may not be used for Direct Marketing purposes. This includes restricting the use of a Director's home address for marketing purposes.
    2. The Client must also observe the NDD directory guidelines for opt-out suppression when contacting telephone numbers accessed from the service.
    2.2. The Client acknowledges that records accessed through the Database will be as up to date as the date stamp in the footer of SoloCheck.ie. This date will also appear on the bottom of each Company Report or Business Name report purchased.
  3. Liability
    3.1. The information is accurate but it is not guaranteed. The Supplier accept no responsibility for any loss, damage, expense, or any delay in providing updated information or inconvenience suffered by a third party as a result of the User's use or interpretation of, or reliance upon, any information (be it accurate or otherwise) provided from the Database.
    3.2. The contents of this website are provided as an information guide only from a number of sources and partners. With regard to company searches, it should be noted that the information contained on the various Registers in relation to Companies or Directors, Business Names and Limited partnerships has been supplied to the relevant Company Registries by third parties. These Third parties have supplied it pursuant to statutory obligation, including the obligation not to knowingly or recklessly supply false information. As such the Supplier cannot vouch for the accuracy of the information which has been supplied by third parties. The Supplier shall not be responsible for the consequences of any error or omission in the information held on this Database.
  4. Subcontractors
    4.1. In providing the Credit Check Information the Supplier may subcontract some activities to its affiliates.
